Terms of Service

Last Updated: May 26, 2025 PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING THE SERVICES PROVIDED BY FAMOUS.IO, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE OUR SERVICES. This Terms of Service Agreement (this “Agreement”) is entered into by and between Famous.io (“Famous.io”, “we”, “us”, or “our”) and the customer, including its affiliates (collectively, "Customer" or "you"), identified in the applicable Sales Order. If you have previously agreed to Famous.io’s Terms of Service prior to May 26, 2025, these updated Terms of Service replace the prior Terms in their entirety. By continuing to use Famous.io’s Services after this date, you agree to and accept these updated Terms in all respects. 1. Subscription and Services 1.1 Access and Use Subject to the terms of this Agreement, Customer may access and use the Famous.io subscription services (“Subscription”) and related services (“Services”) as specified in the applicable Sales Order, executed either in writing or through our website. The Subscription includes support as outlined in the Sales Order. Documentation describing the functionality and features of the Services is available within your account dashboard and may be updated periodically. Note: Unless otherwise agreed, Services are accessed remotely via the internet, and data may be stored or hosted outside of Customer’s country of origin. 1.2 Permitted Users The number of permitted users (“Permitted Users”) is specified in the Sales Order and is determined on an individual, named user basis. Permitted Users may include Customer’s employees and authorized advisors (e.g., legal counsel, auditors, consultants). Permitted Users must not be employees or representatives of competitors offering similar services without Famous.io’s prior written consent. Customer may reassign Permitted User slots as needed, provided the total number does not exceed the agreed-upon limit. Famous.io reserves the right to audit usage and adjust fees accordingly if the number of Permitted Users exceeds the agreed limit. 1.3 Affiliates Customer’s affiliates may access the Subscription and Services by executing a separate Sales Order that incorporates this Agreement by reference. Each affiliate that signs such a Sales Order will be considered a “Customer” under this Agreement and is responsible for its obligations under the Agreement and the applicable Sales Order. 2. Obligations of the Parties 2.1 Compliance Each party agrees to comply with all applicable laws and regulations in connection with its performance under this Agreement. 2.2 Customer Responsibilities Customer agrees to: Provide accurate and complete information as required for the provision of Services. Maintain the confidentiality of login credentials and restrict access to authorized users. Notify Famous.io promptly of any unauthorized use or security breach. Obtain all necessary rights and consents to submit content and data to Famous.io for processing and distribution. 3. Payment 3.1 Fees and Payment Terms Fees for the Subscription and Services are specified in the applicable Sales Order. Unless otherwise stated, all fees are due within thirty (30) days of the invoice date. Famous.io reserves the right to increase fees upon thirty (30) days’ prior written notice. 4. Term and Termination 4.1 Term This Agreement commences on the Start Date specified in the first Sales Order and continues until terminated as provided herein. 4.2 Termination Either party may terminate this Agreement: For convenience, upon thirty (30) days’ prior written notice. Immediately, if the other party breaches any material term of this Agreement and fails to cure such breach within fifteen (15) days after receipt of written notice. 4.3 Effect of Termination Upon termination: Customer’s access to the Services will cease. Customer will pay any outstanding fees due up to the termination date. Sections of this Agreement that by their nature should survive termination (e.g., confidentiality, limitations of liability) will remain in effect. 5. Confidentiality 5.1 Definition “Confidential Information” includes all non-public information disclosed by either party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. 5.2 Obligations Each party agrees to: Maintain the confidentiality of the other party’s Confidential Information. Not disclose Confidential Information to any third party without prior written consent. Use Confidential Information solely for the purposes of performing under this Agreement. 6. Data Privacy and Security Famous.io will collect, use, and process Customer data in accordance with its Privacy Policy, which is incorporated by reference into this Agreement. Customer is responsible for ensuring that it has the right to provide such data to Famous.io for processing under applicable data protection laws. 7. Warranties and Disclaimers 7.1 Mutual Warranties Each party represents and warrants that it has the legal power and authority to enter into this Agreement. 7.2 Disclaimer EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, THE SERVICES ARE PROVIDED “AS IS” AND FAMOUS.IO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 8. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL FAMOUS.IO’S AGGREGATE LIABILITY EXCEED THE TOTAL AMOUNT PAID BY CUSTOMER UNDER THIS AGREEMENT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. 9. General Provisions 9.1 Governing Law This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified in the applicable Sales Order, without regard to its conflict of law principles. 9.2 Entire Agreement This Agreement, including all referenced documents and applicable Sales Orders, constitutes the entire agreement between the parties and supersedes all prior agreements and understandings. 9.3 Amendments Famous.io may update these Terms of Service from time to time.
